Terms of Service

1. Acceptance

By creating an account or using Covly ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and Envitek Solutions LLC ("Envitek", "we", "us").

2. Description of Service

Covly is a group organisation and coordination platform that allows families and groups to manage tasks, events, trips, health records, notes, polls, and related activities. Features include AI assistance powered by third-party language models ("Kovi"), real-time collaboration, and optional integrations with third-party services (Google Calendar, Gmail, WhatsApp).

The Service is currently in private beta and access is by invitation only. We reserve the right to modify, suspend, or discontinue any feature at any time.

3. Eligibility

You must be at least 13 years old to use Covly. By using the Service, you represent that you meet this requirement. Boards intended for families may include profiles for children under 13 managed by a parent or guardian — those children may not create their own accounts.

4. Your Account

You are responsible for maintaining the security of your account credentials. You agree to:

• Provide accurate information during account creation
• Not share your account with others
• Notify us immediately at [email protected] if you suspect unauthorised access
• Not create accounts on behalf of others without their consent

5. Acceptable Use

You agree not to use Covly to:

• Upload or share content that is illegal, harmful, threatening, abusive, or defamatory
• Harass, impersonate, or harm other users
• Transmit spam, malware, or unsolicited messages
• Attempt to reverse-engineer, scrape, or gain unauthorised access to the Service or its underlying systems
• Use the AI features to generate content that violates applicable laws or third-party rights
• Circumvent any security or access controls

We reserve the right to suspend or terminate accounts that violate these rules without notice.

6. Your Content

You retain ownership of all content you create within Covly (tasks, notes, events, health records, photos, etc.). By storing content in the Service, you grant Envitek a limited licence to host, display, and process that content solely to operate the Service on your behalf.

We do not sell your content to third parties. We do not use your personal content to train AI models without your explicit consent.

7. AI Features (Kovi)

Covly includes AI-powered features branded as "Kovi", powered by third-party language model providers (including OpenAI and Anthropic). By using Kovi:

• You acknowledge that AI responses may be inaccurate, incomplete, or inappropriate — always verify important information independently
• Do not share sensitive personal data (passwords, financial details, government IDs) with Kovi
• Health-related suggestions from Kovi are for informational purposes only and are not medical advice — consult a qualified healthcare professional for medical decisions
• Your prompts and responses may be processed by third-party AI providers subject to their own terms and privacy policies

8. Privacy

Your use of Covly is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our data practices as described there.

9. Third-Party Integrations

Covly may connect to third-party services (Google, WhatsApp, OpenAI, Anthropic, Resend, and others). Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

10. Plans & Billing

Covly is currently offered in free and paid tiers. Paid plan features, pricing, and billing terms are described within the app. We reserve the right to change pricing with reasonable notice. Refund requests are handled on a case-by-case basis — contact [email protected].

11. Intellectual Property

Covly, Kovi, and all associated logos, design, and software are the property of Envitek Solutions LLC and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service or its branding without our written consent.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENVITEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 CAD OR THE AMOUNT YOU PAID TO ENVITEK IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Envitek Solutions LLC and its officers, directors, employees, and agents from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

15. Termination

You may delete your account at any time from the app's Account Settings. We may suspend or terminate your access at our discretion, with or without notice, for violation of these Terms or for any other reason. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia and the federal laws of the United States of America, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Loudoun County, Virginia.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
